These terms and conditions (the “Terms”) are a legal agreement
between ZEEDEO (“we”, “our” or “us”) and the entity or person
(“you”, “your”) who uses the website located at
https://www.zeedeo.com, and the mobile applications
provided by us (collectively the “Services”).
Before you access and use the Services, you must read and accept all
of the terms and conditions contained in the Terms as well as our
Privacy Policy, and you acknowledge and agree that you will be bound
by these agreements and policies.
BY ACCEPTING THE TERMS YOU ARE CONFIRMING THAT YOU UNDERSTAND AND
AGREE TO BE BOUND BY THESE TERMS, AND ARE SOLELY RESPONSIBLE FOR
UNDERSTANDING AND COMPLYING WITH ALL LAWS, RULES, REGULATIONS AND
REQUIREMENTS OF THE JURISDICTION IN WHICH YOU LIVE THAT MAY BE
APPLICABLE TO YOUR USE OF THE SERVICES.
‘Agreement” means these Terms.
“Account” means the user account created by Companies and Candidates
on the Platform.
“Company” means a legal person, including any companies regardless
of the formation type, startups and universities that may use the
Platform for a variety of permitted purposes, including, without
limitation, for interacting with individuals who seek a job.
“Candidate” means a physical person, whether a student, a graduate
or a professional, using the Platform for a variety of permitted
purposes, including, without limitation, for looking for a job.
“User” means Company and Candidate together.
“You”, or “Your” means any User of the Platform.
“User Content” means any content submitted by the User, including
recordings of video, images and texts.
“Platform” means website and mobile application provided by ZEEDEO
to bring together the Companies and the Candidates.
“Job” means the job openings published on the Platform by the
Company.
“Intellectual Property” means patents, copyrights, industrial
rights, trademarks, database rights, and any of these applications,
as well as moral rights, know-how, corporate secrets, domain names,
URLs, trade names, and all other related rights, regardless of they
are registered or not.
ZEEDEO is a social platform that brings together Companies and
Candidates and allows them to interact with each other in a fun and
easy way through the use of a variety of User Content. ZEEDEO may be
used for any purposes, unless expressly prohibited under the terms
of this Agreement, including employment purposes.
Although it can be used for employment purposes, ZEEDEO is not an
employer or a recruitment agency and does not enter into employment
or service contracts with Candidates. These Terms do not create any
agency, partnership or joint venture between ZEEDEO and Companies.
ZEEDEO grants you a personal, limited, non-exclusive,
non-commercial, and non-transferable license to access and use the
Services only as expressly permitted in these Terms. Any violation
by you of the license provisions contained herein may give rise to
immediate termination of your right to use the Services.
Any use of the Services other than as specifically authorized
herein, without our prior written permission is strictly prohibited
and will terminate the license granted herein.
ZEEDEO is committed to eliminate discrimination and promote equality
with regards to age, gender identity or gender expression, race,
ethnicity, disability, religion or belief, and sexual orientation
among its Users.
You acknowledge and expressly agree that you are responsible for
your own conduct while using the Services, and for any consequences
thereof. You agree to use the Services only for purposes that are
legal, proper and in accordance with these Terms and any applicable
laws or regulations.
You acknowledge and expressly agree that you, you shall not, and
shall not allow any third party to:
(i) send, upload, distribute or disseminate any unlawful,
defamatory, harassing, discriminatory, sexist, racist, abusive, and
fraudulent content (including content that may be considered
harassment, bullying, sexual, relating in any way to terrorism, or
threatening in nature);
(ii) send, upload, distribute or disseminate any content that
contains or promotes sexual content or profanity, including
pornography
(iii) distribute software viruses, worms, Trojan horses, corrupted
files, or any other malware or any other items of a destructive or
deceptive nature;
(iv) upload, post, transmit or otherwise make available through the
Services any content that infringes the intellectual proprietary
rights of others;
(v) use the Services to violate the legal rights of others;
(vi) engage in, promote, or encourage illegal activity, including,
without limiting to, money laundering;
(vii) interfere with other users' enjoyment of the Services;
(viii) exploit the Services for any unauthorized commercial purpose;
(ix) copy, alter, translate, modify, create derivative works from,
reproduce, resell, reverse assemble, reverse engineer, reverse
compile any portion of the Services;
(x) remove any copyright, trademark or other proprietary rights
notices contained in or on the Services;
(xi) reformat or “frame” or “mirror” any portion of the Services;
(xii) use any robot, spider, site search/retrieval application, or
other devices to retrieve or index any portion of the Services or
the content posted on the thereof, or to collect information about
its users for any unauthorized purpose; and
(xiii) access or use the Services for the purpose of creating a
product or service that is competitive with any of our products or
services.
(xiv) allow your use of the Services to present to ZEEDEO a risk of
non-compliance with anti-money laundering, counter-terrorist
financing, and similar regulatory obligations, or
If you engage in any of the activities prohibited by this section,
we may, at our sole and absolute discretion, without notice to you,
and without limiting any of our other rights or remedies at law or
in equity, immediately suspend your use of the Services.
The access is provided on an “as is” and “as available” basis. We
may alter, suspend or discontinue any and all of the Services at any
time and without notice. We will not be liable to you in any way if
the Services are unavailable at any time and for any period.
In order to access the Services, you shall follow the steps
stipulated for Candidates and Companies, separately. As a Company,
you shall set up an Account for the Company and you shall (i)
provide accurate, complete, and up-to-date information about
yourself; and (ii) maintain and immediately update the information
to keep it accurate, complete, and up-to-date. As a Candidate, you
shall set up an account for the Candidate, and you shall not provide
false identity information, or provide information on behalf of
someone other than yourself. As a Candidate, you also agree that you
shall not have more than one Account.
ZEEDEO reserves the right to condition the access of Companies to
the Services on monthly subscription payments. In addition, Users
will have to pay a fee for promotions of User Content. The
information about the fees and payments shall be published on the
relevant section of the Platform and such information shall become
part of this Agreement.
Users of the Services must comply with the terms of this Agreement
and shall not engage in any prohibited activities. When using ZEEDEO
for employment purposes, the Users have following additional
obligations:
(a) Companies must provide complete and accurate details about the
Job, including the required education level, skills, and experience.
Companies shall communicate with Candidates in a professional manner
and shall not violate the terms and conditions of this Agreement or
any applicable laws and regulations, including without limitation,
the applicable data protection laws.
(b) Candidates shall provide complete and accurate information about
themselves and only apply and accept the Jobs for which they have
the required experience, education and skills. Candidates shall be
responsible to pay the applicable taxes and other mandatory payments
to relevant authorities unless the agreement between the Company and
Candidate states otherwise.
(c) You, as a Candidate, must be at least thirteen (13) years of age
to apply for and accept part-time jobs, unless the jobs are in the
areas like television, theatre and modelling which require a
performance license. Also, you must be at least sixteen (16) years
of age to apply for and accept full-time jobs.
(d) It is the sole responsibility of the Company to perform relevant
checks concerning the identity and competence of the Candidate,
verify a Candidate is whom they say they are and is of legal age as
provided under these Terms and applicable laws and regulations, and
ensure the Candidates meet the necessary industry standards and
protections needed for the Job they are applying for.
When you create an Account on the Services, you agree to be
responsible for maintaining the security of your Account, and you
are fully responsible for any and all activities that occur under
the Account and any other actions taken in connection with the
Account.
It is your responsibility to provide and maintain accurate, current,
and complete information, including your contact information. You
may not use false or misleading information in connection to your
Account, or use any information which damages the reputation of
others. ZEEDEO retains the right to change or remove any information
that it considers inappropriate or unlawful, or otherwise likely to
expose ZEEDEO to claims of third parties. You agree that we may take
steps to verify the accuracy of the information you have provided to
us.
It is also your responsibility to take any and all reasonable
measures to maintain the confidentiality of your username and
password. You must immediately notify us of any unauthorized uses of
your information, your Account, or any other security breaches
within 72 hours. We do not bear responsibility nor are liable for
any acts or omissions by you, including any damages of any kind
incurred as a result of such acts or omissions.
The Services are provided on an "as is" and "as available" basis
without any representation or warranty, whether express or implied,
to the maximum extent permitted by applicable law: specifically we
disclaim any implied warranties of title, merchantability, fitness
for a particular purpose and/or non‑infringement. We do not make any
representations or warranties that access to the Services, or any of
the materials contained therein, will be continuous, uninterrupted,
timely, or error‑free.
We disclaim any and all liability and responsibility for any User
Content. We cannot guarantee that any User Content will be true,
accurate, complete and free of errors. Therefore, you expressly
acknowledge and agree that you use the Services at your own risk.
You agree to indemnify and hold us and any of our officers,
directors, employees, consultants, and agents harmless, including
costs and attorneys’ fees, from any claim or demand made by any
third party due to or arising out of (i) your use of the Services,
(ii) your violation of these Terms, or (iii) your violation of
applicable laws or regulations.
We retain the right, at your expense, to assume the exclusive
defense and control of any matter for which you are required to
indemnify us, and you agree to cooperate with our defense of these
claims. You agree not to settle any matter without our prior written
consent. We will use reasonable efforts to notify you of any such
claim, action or proceeding upon becoming aware of it.
All Intellectual Property rights on the Services, except for those
relating to the User Content, belong to ZEEDEO or are licensed for
our use. By using the Services, the ownership of the Intellectual
Property is not granted to the User. Our status as the owner and
author of the content (including, but without limitation to text,
graphics, user interfaces, photos, audio, video, computer code and
all other forms of information or data) on the Services (or that of
identified licensors, as appropriate) must always be acknowledged.
You may not use any content saved or downloaded from the Services
for commercial purposes without first obtaining a license from us
(or our licensors, as appropriate) to do so.
All Intellectual Property rights pertaining to the User Content
belong to the respective User that created and submitted such User
Content to us. By agreeing to these Terms and submitting your User
Content you grant us exclusive, perpetual, irrevocable, worldwide,
assignable, and paid-up license to use such User Content.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL
ZEEDEO OR ANY OF OUR OFFICERS, DIRECTORS, REPRESENTATIVES, AGENTS,
EMPLOYEES, CONSULTANTS, LAWYERS, AND OTHER PERSONNEL AUTHORIZED TO
ACT ON OUR BEHALF BE LIABLE TO YOU UNDER CONTRACT, TORT, STRICT
LIABILITY, NEGLIGENCE, OR ANY OTHER LEGAL OR EQUITABLE THEORY, FOR:
(A) ANY LOST REVENUE, DATA LOSS, LOSS OF ANTICIPATED PROFITS, OR
DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, COMPENSATORY, OR
CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER RESULTING FROM: (I)
YOUR USE OF, OR CONDUCT IN CONNECTION WITH THE SERVICES; (II) ANY
INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES;
OR (III) ANY BUGS, VIRUSES, TROJAN HORSES, OR ANY OTHER HARMFUL AND
DISRUPTIVE CODE THAT ARE FOUND IN THE SERVICES OR THAT MAY BE
TRANSMITTED TO OR THROUGH THE SERVICES BY ANY THIRD PARTY,
REGARDLESS OF THE SOURCE OF ORIGINATION, OR (B) ANY DIRECT DAMAGES
IN EXCESS OF (IN THE AGGREGATE) OF THE GREATER OF GBP 100.00.
THESE LIMITATIONS APPLY REGARDLESS OF LEGAL THEORY, WHETHER BASED ON
TORT, STRICT LIABILITY, BREACH OF CONTRACT, BREACH OF WARRANTY, OR
ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE WERE ADVISED OF THE
POSSIBILITY OF SUCH DAMAGES.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF
LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE
LIMITATION MAY NOT APPLY TO YOU.
ZEEDEO reserves the right to suspend and/or terminate your Account
at any time, at our sole discretion and without notice. This may be
the case if we suspect or are aware of a breach by you of these
Terms. In such a case, you are not allowed to set up another Account
on the Platform.
You can terminate the Terms by deleting your Account with us. Upon
the deletion of your Account, any obligations you incur to ZEEDEO,
its Users or any third parties will remain in full force and effect
until they are performed in full.
These Terms, and the relationship between you and us, whether
contractual or otherwise, shall be governed by, and construed in
accordance with the laws of England & Wales without regard to its
conflict of law provisions.
In the event of any controversy, dispute or claim (collectively
“dispute”) between you and us arising out of or in connection with
your use of the Services, the parties shall attempt, in good faith,
to resolve any such dispute among themselves in an amicable fashion.
If the parties are not able to resolve any such dispute within
fifteen (15) days, then either party may submit such dispute to
mediation. If the dispute cannot be resolved through mediation
within a month of the submission to mediation, then the parties
shall be free to initiate legal proceedings and pursue any right or
remedy available to them in which case the competent courts of
London, England will have the jurisdiction to hear the cases.
The Services may contain links to third-party websites or services
that are not owned or controlled by us. We have no control over or
assume any responsibility for the content, privacy policies, or
practices of any third-party websites or services. You further
acknowledge and agree that we shall not be responsible or liable,
directly or indirectly, for any damage or loss caused or alleged to
be caused by or in connection with the use of or reliance on any
such content or services available on or through any such websites
or services. We strongly recommend that you read the terms and
conditions and privacy policies of any third-party websites or
services that you visit.
You hereby agree that irreparable harm could occur in the event that
any provisions of the Terms were not performed fully by you or were
otherwise breached, and that money damages are an inadequate remedy
for breach of the Terms because of the difficulty of ascertaining
and quantifying the amount of damage that will be suffered by us in
the event that these Terms are not performed in accordance with its
terms or conditions or are otherwise breached. It is accordingly
hereby agreed that ZEEDEO shall be entitled to an injunction or
injunctions to restrain, enjoin and prevent breaches of the Terms by
you and to enforce specifically the terms and provisions hereof in
any court of England or any state having jurisdiction, such remedy
being in addition to and not in lieu of, any other rights and
remedies to which ZEEDEO is entitled to at law or in equity.
Severability. If any provision of these Terms becomes invalid or
unenforceable for any reason, including being rendered invalid by a
court decision, the remaining parts of the Terms will remain valid
and enforceable.
Entire Agreement. These Terms contain the entire agreement and
understanding among the parties hereto with respect to the subject
matter hereof, and supersedes all prior and contemporaneous
agreements, understandings, inducements and conditions, express or
implied, oral or written, of any nature whatsoever with respect to
the subject matter hereof.
No Waiver. No failure by either party hereto to exercise, and no
delay by such party in exercising, any right under these Terms shall
operate as a waiver thereof. The exercise by either party hereto of
any right under these Terms shall not preclude the exercise of any
other right, and the remedies provided herein are cumulative and not
exclusive of any remedies provided at law or in equity.
Amendments. We reserve the right to make changes to these Terms from
time to time for a variety of reasons, including, without
limitation, compliance with applicable laws and other regulatory
requirements. Therefore, we may revise the Terms at any time,
without notice. For this reason, we recommend you to visit this page
regularly in order to be kept updated about the revisions. Your
continuation to use the Service after such a revision is posted will
be deemed your acceptance of such revisions of the Terms.
